1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and ThinTake (OPC) Private Limited, a company registered in Rajasthan, India (“ThinTake”, “Company”, “we”, “our”, or “us”).

By:

  • Accessing our website,
  • Creating an account,
  • Purchasing or subscribing to services, or
  • Clicking “I Agree” or similar acceptance mechanisms,

you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not use our services.

2. Scope of These Terms

These Terms govern:

  • Use of the ThinTake website
  • Account registration and management
  • SaaS products and hosting services (unless separate Terms apply)

Exclusions

These Terms do not apply to:

  • Custom software development projects
  • Website development agreements
  • Support or maintenance contracts
  • Any service governed by a separately executed written agreement
  • Any product or service that has its own published Terms

In such cases, the separate agreement shall prevail.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts.

If you are using the services on behalf of a business entity, you represent that you have authority to bind that entity.

4. Account Registration and Security

To access certain services, you must create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain confidentiality of login credentials
  • Immediately notify us of unauthorized access
  • Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Services

ThinTake provides:

  • SaaS products
  • Hosting services
  • Software tools and platforms
  • SEO and technology services
  • Related digital products

We may modify, enhance, suspend, or discontinue services at our discretion.

We do not guarantee uninterrupted availability.

6. SaaS License Grant

Subject to compliance with these Terms and payment of applicable fees, ThinTake grants you a:

  • Limited
  • Non-exclusive
  • Non-transferable
  • Non-sublicensable
  • Revocable

license to access and use our SaaS services for internal business or personal use.

You shall not:

  • Reverse engineer or decompile
  • Resell or redistribute services
  • Create derivative works
  • Use services to build competing products

All intellectual property remains exclusively owned by ThinTake.

7. Subscription, Billing, and Payments

A. Fees

You agree to pay all applicable fees.

B. Payment Processing

Payments are processed through third-party payment processors (e.g., Stripe, Razorpay). We do not store full card details.

C. Subscription & Auto-Renewal

If you subscribe to recurring services:

  • Subscriptions renew automatically unless cancelled before renewal.
  • You authorize recurring billing until cancellation.

D. Refunds

Refund eligibility, if applicable, is governed exclusively by our separate Refund Policy, available on the relevant product or service page.

Unless otherwise stated in that policy, fees are non-refundable.

8. Acceptable Use

You agree not to:

  • Use services for illegal purposes
  • Violate intellectual property rights
  • Transmit malware or harmful code
  • Attempt unauthorized access
  • Interfere with service infrastructure
  • Use services in violation of export laws

Violation may result in suspension or termination.

9. User Content

If you upload or transmit content:

  • You retain ownership of your content.
  • You grant ThinTake a limited license to host, process, and display such content for service operation.
  • You represent that you have lawful rights to the content.

We are not responsible for user-generated content.

10. Third-Party Services

Our services may integrate with third-party platforms and providers.

We are not responsible for:

  • Third-party services
  • Their availability
  • Their data practices

Their terms and policies apply separately.

11. Disclaimer of Warranties

To the maximum extent permitted by law:

Services are provided “as is” and “as available.”

We disclaim all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Continuous or error-free operation

We do not guarantee specific business outcomes.

12. Limitation of Liability

To the fullest extent permitted by law:

ThinTake shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits or revenue
  • Data loss
  • Business interruption
  • Loss of goodwill

Our total aggregate liability shall not exceed the total amount paid by you in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ThinTake from claims arising out of:

  • Your violation of these Terms
  • Misuse of services
  • Violation of applicable laws
  • Infringement of third-party rights

14. Export Compliance

You agree not to use or export services in violation of:

  • Indian export laws
  • Applicable international export control regulations
  • Sanctions laws

You represent that you are not located in a sanctioned jurisdiction.

15. Force Majeure

We shall not be liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Government actions
  • Internet disruptions
  • War
  • Cyberattacks
  • Infrastructure failures

16. Suspension and Termination

We may suspend or terminate services:

  • For violation of Terms
  • For non-payment
  • For legal compliance
  • For security risks

You may terminate by discontinuing use and cancelling subscriptions.

Termination does not relieve outstanding payment obligations.

17. Service Modifications and SLA Disclaimer

Unless governed by a separate agreement:

  • We do not provide guaranteed uptime commitments.
  • We may modify features or functionality.

Separate enterprise contracts may define specific SLAs.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

Subject to applicable law, courts located in Rajasthan, India shall have exclusive jurisdiction.

19. Changes to These Terms

We may update these Terms at any time.

Continued use after updates constitutes acceptance.
